These Terms of Service ("Terms") govern your access to and use of Courshway. Please read them carefully. By creating an account or using Courshway, you agree to these Terms.

1. Who we are
Courshway ("Courshway," "we," "us," or "our") is a product operated by Viral Marketing Solutions Co., a company based in South Carolina, United States. Courshway is an online platform that lets creators ("Creators") build, host, and sell online courses, and lets their students ("Students") purchase and take those courses.
In these Terms, "you" refers to the person or entity using Courshway, whether as a Creator, a Student, or a visitor.
2. Accounts & eligibility
To use most features of Courshway, you must create an account. You agree to provide accurate information and to keep it up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You must be at least 18 years old, or the age of majority in your jurisdiction, to create a Creator account. If you use Courshway on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. The service & plans
Courshway offers subscription plans (currently "Essential" and "Pro") with different features and limits, described on our pricing page. We may change, add, or remove features over time. Plan prices, features, and limits are those shown at the time you subscribe or renew.
Some features — including the AI Course Assistant and certain customization and storage limits — are available only on specific plans. Storage limits apply to Creator course content as described in your plan.
4. Subscriptions, billing & cancellation
Courshway subscriptions are billed on a recurring basis — monthly or annually, at your choice — through our payment processor. By subscribing, you authorize us to charge your payment method for the applicable fees until you cancel.
Your subscription charge appears on your bank or card statement under a descriptor such as "COURSHWAY.COM" or "COURSHWAY".
4.1 Renewal
Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. Renewal charges use the plan and price in effect at the time of renewal.
4.2 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you retain access to paid features until then.
4.3 Changing plans
Upgrades take effect immediately. If you move to a higher-priced plan or a longer billing period, the change applies straight away and you are charged a prorated amount for the remainder of your current billing period, based on the time left in it.
Downgrades take effect at the end of your current billing period. If you move to a lower-priced plan or a shorter billing period, you keep the plan you have already paid for until that period ends, and the new plan begins immediately afterward. The remaining portion of the period you have paid for is not refunded, credited, or prorated. Nothing is charged at the time you request the change.
A scheduled downgrade can be cancelled from your account settings at any time before it takes effect, in which case your existing plan simply continues.
4.4 Refunds
Except where required by law, subscription fees are non-refundable, including for annual plans. If you cancel an annual plan, you will not receive a refund for the remaining period, but you will retain access to paid features through the end of the term you have paid for. The same applies if you downgrade: you keep the plan you paid for until the period ends, and the unused portion is not refunded.
4.5 Price changes
We may change subscription prices. If we do, we will give you reasonable advance notice, and any change will apply at your next renewal after the notice. For annual plans, this means a price change will not affect you until your current annual term ends.
5. Course sales & payments
Creators set the prices for their own courses. When a Student purchases a course, payment is processed through Stripe, and course sale proceeds are paid out to the Creator's connected Stripe account, subject to Stripe's terms and processing timelines.
Courshway does not take a percentage of Creator course sales. Creators pay only their flat subscription fee. Standard payment-processing fees charged by Stripe still apply and are outside our control.
Creators are responsible for delivering the courses they sell, for honoring any refund requests from their own Students, and for determining, collecting, and remitting any taxes applicable to their sales. Courshway is not the seller of Creator courses and is not a party to the transaction between a Creator and a Student, except as the platform facilitating it.
6. Your content & ownership
You own your content. Creators retain all ownership rights in the course content, videos, text, and other materials they upload to Courshway ("Creator Content"). We do not claim ownership of your Creator Content.
To operate the platform, you grant Courshway a limited, non-exclusive, worldwide license to host, store, process, transcribe, display, and deliver your Creator Content solely for the purpose of providing the service to you and your Students — for example, hosting and streaming your videos, generating transcripts, and powering course features. This license ends when you delete the content or close your account, except for content Students have already purchased and for backups retained for a reasonable period.
You are responsible for your Creator Content and represent that you have the rights necessary to upload and sell it, and that it does not infringe anyone else's rights or violate any law.
7. Acceptable use
You agree not to use Courshway to:
- upload or sell content you do not have the rights to, or that infringes intellectual property or other rights;
- upload unlawful, fraudulent, harmful, harassing, hateful, or sexually exploitative content, including any content that sexualizes or endangers minors;
- violate the privacy or rights of others, or collect personal data without authorization;
- distribute malware, attempt to breach security, or disrupt or overload the service;
- misrepresent your courses, or use the platform to deceive or defraud Students;
- resell, sublicense, or abuse platform resources (for example, using storage for purposes unrelated to your courses); or
- use the service in violation of any applicable law or these Terms.
We may remove content or take action on accounts that violate this section.
8. AI features
Courshway includes AI-assisted features, such as tools that help Creators draft course outlines and content, and an AI Course Assistant that answers Student questions based on a Creator's course material. These features rely on third-party AI providers.
AI-generated output may be inaccurate or incomplete. Creators are responsible for reviewing and editing any AI-assisted content before publishing it, and AI outputs do not constitute professional advice. You use AI features at your discretion and remain responsible for your published courses.
9. The Courshway API
Creators on the Pro plan can create API keys to connect Courshway to other tools. If you use the API, the following apply.
- Your keys are yours to protect. A key grants access to your courses and your Students' information, including names and email addresses. Keep it secret, don't publish it or share it, and revoke it from your account settings if it may have been exposed. You are responsible for activity carried out with your keys.
- Scope. A key can only reach your own courses and Students. Attempting to access another Creator's data, or to work around the scoping or rate limits, is a breach of these Terms and of the acceptable use section above.
- Your Students' information. When you connect an outside tool, you are choosing to send your Students' personal information to a company we have no relationship with. You are responsible for that decision and for handling that information lawfully, including under any privacy or marketing laws that apply to you.
- Enrollments you create. You may use the API to give someone access to your course without a payment through Courshway. Doing so confirms that you have the right to enroll that person and that they expect to receive access. Enrollments created this way count toward your enrollment numbers but not toward your revenue figures, because no payment was processed by us.
- Availability and change. The API is provided as-is. We may change endpoints, response formats, or rate limits, and will avoid breaking changes to a published version where we reasonably can. We may suspend or revoke a key that is being used abusively, is placing undue load on the platform, or where required for security.
- Plan requirement. API access is a Pro-plan feature. If your plan changes or your subscription lapses, your keys stop working until an active Pro subscription is restored. Your keys are not deleted.
10. Third-party services
Courshway relies on third-party services to operate, including (currently) Stripe for payments, Google Firebase for authentication and data storage, Bunny.net for video hosting and delivery, Resend for email, and AI providers including OpenAI and Anthropic. Your use of Courshway may be subject to those providers' terms, and we are not responsible for their services. We may change our service providers over time.
11. Suspension & termination
You may stop using Courshway and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the platform, other users, or our providers. Where practical, we will give you notice.
On termination, your right to use the service ends. Provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — will survive.
12. Disclaimers
Courshway is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any particular results — including course sales or completion rates — will be achieved.
13. Limitation of liability
To the fullest extent permitted by law, Courshway and Viral Marketing Solutions Co. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service.
To the fullest extent permitted by law, our total liability for any claim arising out of or related to these Terms or the service will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless Courshway and Viral Marketing Solutions Co. from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your Creator Content, your courses, your use of the service, or your violation of these Terms or any law or third-party rights.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of Courshway after changes take effect means you accept the updated Terms.
16. Governing law
These Terms are governed by the laws of the State of South Carolina, United States, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or related to these Terms or the service will be subject to the exclusive jurisdiction of the state and federal courts located in South Carolina, unless applicable law requires otherwise.
